PHP 5.4.4 to 5.5.11 - HTTP Error 500.0 - Internal Server Err

PHP 5.4.4 to 5.5.11 - HTTP Error 500.0 - Internal Server Err

I am running a Windows Server 2008 R2 SP1 - 64-bit
My Joomla Version is: 2.5.19

When I try to change my PHP version from 5.4.4 (which runs correctly) to 5.5.11RC1 I get:
HTTP Error 500.0 - Internal Server Error
C:\php1\php-cgi.exe - The FastCGI process exited unexpectedly

Error Code 0xc0000135

I went into my joomla back-end and disabled all the plug-ins...still doesn't work

I have no idea why 5.4.4 works fine...but when I dump 5.5.11 and change the version, it craps out.

Any ideas, help?
