GNU GPL2 violation question

Just don't know, in wich thread to write so just post here.
I have a question about extension licensing. There's extension in JED, which indicated as GNU GPL v2 licensed - as marked on JED page and in extension files. But on the developer site written:
You may modify the code to suit your needs but resale and unauthorized distribution is prohibited. You may not place our extensions, on a diskette, CD, website or any other medium and offer them for redistribution or resale of any kind with our custom code and graphics in place. Please check the license file included in each package for full license information.
Isn't it violation of 1st and 2nd paragraphs of GNU GPL v2?

Especially strange that every archive with GPL-licensed files (even free version of extension) contains text:
Copyright (C) 2010-2016 {developers company}. All Rights Reserved.
@license - Copyrighted Commercial Software
Author: JoomUltra Co., Ltd
Website: {developers site}
This file may not be redistributed in whole or significant part.
Another violation?
Just don't understand how to explain this - if it's commercial (non GPL) extension why they misleading users?

That does not seem right.

All extensions at Joomla Extension Directory (JED) are GPL v2 or higher.
Please report the extension at the JED on the extensions JED page.
